E Invoicing Service Agreement

AZDAN BUSINESS ANALYTICS FZCO | ASP accreditation 147900Version 1.1 For Review | 28 October 2026 | الإصدار 1.1 للمراجعة

1 Authorization and scope

The Customer appoints AZDAN as its UAE e-invoicing ASP and authorizes verification, onboarding and Peppol registration for each identified End User. AZDAN may validate, process, send, receive, report and store electronic invoices, credit notes and related data to provide the agreed services. ERP implementation and additional services require a separate agreed scope.

2 Regulatory compliance

Each party must comply with applicable UAE laws and current mandatory MoF, FTA and other competent-authority requirements. AZDAN remains responsible for its ASP duties, including required PINT AE/Peppol validation, exchange and tax-data reporting, and for its subcontractors. Relevant data may be exchanged with the FTA, other ASPs and authorized parties as legally required for the services. A technical acknowledgment is not tax approval or buyer acceptance.

3 Customer responsibilities

The Customer is responsible for lawful, accurate and complete invoice content, tax treatment and registration details, authorized access and prompt correction of errors. It must notify AZDAN in writing of changes to its FTA-registered data within five Business Days after receiving the FTA’s confirmation of the amendment. This does not transfer AZDAN’s own legal duties or responsibility for its errors to the Customer.

4 Data and records

The Customer retains ownership of its data. AZDAN will preserve confidentiality, use data only for the services and lawful obligations, and apply required security controls, including MFA, encryption and monitoring. Processing locations, subprocessors, lawful transfers and incident handling must be disclosed in the agreed DPA/privacy notice. Records must remain accessible to the FTA for the legally required periods, with any customer-specific residency rules respected. On exit, AZDAN will enable lawful export and orderly transfer; required retention and legal holds continue.

5 Fees and no refunds

Fees, term, included volumes, counting rules and support/SLA are disclosed in the accepted Order Summary and schedules. Each End User receives the mandatory 100 free eInvoice exchange and reporting services annually from signature of its agreement. Paid fees are non-refundable, including on cancellation, early termination or non-use, except where a refund is required by applicable law. This policy does not remove mandatory remedies or agreed SLA credits. No undisclosed automatic overage charge applies.

6 Term changes and ending

The agreed order states activation, expiry, renewal and cancellation rules. AZDAN may restrict services where legally required or reasonably necessary for security or material breach, with notice and opportunity to remedy where lawful and practicable. Required records and transition duties remain protected. AZDAN must notify affected End Users within five Business Days after receiving an accreditation-termination decision. Material changes must be disclosed and accepted where required; no retroactive fee change applies.

7 Law and acceptance

UAE law applies; mandatory law prevails over conflicting terms. Nothing excludes liability or rights that cannot lawfully be excluded. Before acceptance, the Customer must receive the completed order, SLA and data/retention schedules and may review and correct its details. By clicking “I Agree”, the representative confirms that they have read, understood and accepted this agreement and are authorized for the Customer and each included End User. The accepted version and receipt must be retained. This draft does not amend existing signed contracts.
